On June 11, 2024, at 2:29 AM, the board of directors of Spectacular Optoelectronic Communications Factory Shanxuan (3363) announced today that it has approved the issuance of 5,000,000 shares of private common stock, with Spectacular Optoelectronics (HIMX) participating in the private placement through its wholly-owned Taiwan subsidiary Spectacular Optoelectronics as a strategic investor, subscribing at a price of NT$104.4 per share (about $3.2), totaling NT$520 million (about $16 million), entirely subscribed by Spectacular. Following this private fundraising, Spectacular will hold a 5.3% stake in Shanxuan. Shanxuan is a silicon photonics (SiPh) connector manufacturer with years of optical communication technology experience and recent investments in silicon photonics packaging technology research, collaborating closely with world-class semiconductor customers in the Co-Packaged Optics (CPO) field. Spectacular's strategic investment further strengthens the long-standing strategic alliance between the two companies. Through this cooperation, they integrate Spectacular's Wafer-Level Optics (WLO) and Shanxuan's CPO technologies for use in advanced Multi-Chip Modules (MCM), crucial for enhancing performance in various applications such as High-Performance Computing (HPC), Cloud Servers, Artificial General Intelligence (AGI), Industrial Digitization, Medical Healthcare, and Academic Research. Shanxuan's General Manager Hu Dingda stated that Spectacular's WLO technology enhances Shanxuan's ReLFAConTM optical connectors' product performance, ensuring excellent optical alignment and achieving high-precision photon propagation. This private fundraising will further strengthen Shanxuan's and Spectacular's long-term strategic partnership, focusing on developing the high-bandwidth, low-latency CPO technology required for high-speed computing. Spectacular's CEO Wu Bingchang said that investing in Shanxuan not only demonstrates Spectacular's commitment to expanding the diverse applications of optical products but also showcases the infinite potential of Spectacular's WLO in advancing cutting-edge technology. Shanxuan has leading global optical communication and CPO technology, combined with Spectacular's unique WLO optical capabilities, the two can consolidate their leading positions in high-speed AGI computing and optical communication.
