U.S. Cellular will retain ownership of 70% of its spectrum, equity investments, and telecom towers. The deal aims to improve T-Mobile's coverage and will be funded through a mix of cash and assumed debt. No impact on T-Mobile's financial forecast or shareholder return program is expected, with operating expense and capital spending synergies of around $1 billion anticipated. The deal is set to close by mid-2025 pending regulatory approvals, with a termination fee of $60 million if it falls through.
