Zhi Gong Technology (5478) held a shareholders' meeting and successfully completed a board election, appointing six directors and four independent directors. The company's appointees, led by Zhi Gong and Rong Gang, secured eight board seats, while major shareholder NetBank nominated four individual directors with Xu Yuren and independent director Wang Zhicheng joining the board. Wang Junbo remains the chairman. The new board comprises six directors including Wang Junbo, Jian Jincheng, Chen Zhengwen (representative of Rong Gang), Wang Jiongfeng, Zhang Hongyuan, and Xu Yuren (NetBank), with independent directors Lin Xuanzhu, Cao Weijie, Xu Shoude, and Wang Zhicheng (NetBank). Wang Junbo expressed hopes for a diverse and innovative board to continue delivering excellent operational performance. Zhi Gong Technology focuses on a one-stop comprehensive service model with core businesses in digital games, online advertising, and financial technology. NetBank, holding a 22% stake, welcomed the election results of the new individual directors Xu Yuren and independent director Wang Zhicheng, aiming to improve corporate governance independently. NetBank stated they had no intention of engaging in Zhi Gong's operations, criticizing them for disregarding shareholder interests and ruling out future cooperation. NetBank International plans to develop an entertainment ecosystem centered on connecting consumer and customer needs, and aims for international expansion. Having recently acquired several entertainment properties, including cinema chains and content production companies, NetBank appears determined to build a strong entertainment ecosystem. Zhi Gong's shareholder meeting acknowledged the strong financial performance in 2023 with a consolidated revenue of 6.249 billion NTD and a net profit attributable to the company's owner of 859 million NTD, achieving an EPS of 7.09 NTD. They decided to distribute a cash dividend of 7 NTD per share and allocate an additional 2 NTD per share from capital surplus, totaling a dividend of 9 NTD per share.
